1. Non-Transfer and Personal Use

Client's enrollment and access to the Program are strictly personal and non-transferable. Client shall not share, distribute, sublicense, assign, or provide access to the Program (including login credentials, course materials, recordings, screenshots, templates, or resources) to any third party without Company's prior written consent.

 

2. No Teaching or Derivative Coaching Permitted

Client shall not teach, train, coach, or provide any services to third parties using the Program materials or content, or any portion thereof, nor create any program, course, or offering substantially similar to or derived from the Program, whether for commercial or non-commercial purposes without Company's prior written consent.

 

3. No Recording or Repurposing

Client shall not record, copy, screenshot, download, reproduce, or capture any portion of the Program, including live sessions or replays or any recording of the live sessions without express written permission from the Company. Client further agrees not to repurpose, publish, or distribute any Program content, in whole or in part, in any format, including through digital platforms, social media, or artificial intelligence tools.

 

4. Non-Solicitation of Participants

Client agrees that during participation in the Program and for a period of twelve (12) months thereafter, Client shall not directly or indirectly solicit, recruit, or engage any other participant, client, or customer of the Company for competing products or services, or pose as a representative of the Company in order to attempt to solicit any other participant, client, or customer of the Company.

 

5. Methodology Ownership

Client acknowledges that all methodologies, frameworks, processes, systems, sequences, and structures contained within the Program are proprietary to Company. Client agrees not to replicate, reproduce, or utilize such methodologies in any manner beyond personal use and during enrollment.

 

6. No Derivative use of Program

Client shall not use any Program Materials, proprietary methodologies, frameworks, processes, or Confidential Information to create derivative works, competing programs, courses, or services even if modified, reworded, or rebranded.

 

7. Results-to-Content Restriction

Client may share general experiences or testimonials regarding the Program but shall not disclose, teach, or publicly share specific frameworks, processes, or step-by-step methodologies learned within the Program.

 

8. Certification / License Requirement

Client acknowledges that any teaching, licensing, or dissemination of the Company’s methodologies, processes and frameworks require prior written authorization from Company, which may be granted through a separate certification or licensing agreement with Company.

 

9. Platform and Community Use Restrictions

Client agrees not to copy, extract, reproduce, or distribute any content, discussions, or materials from any Program-related platform, including but not limited to community groups, messaging platforms, or forums. Client further agrees not to use such platforms to promote competing services.

 

10. No Reverse Engineering

Client shall not analyze, deconstruct, reverse engineer, or otherwise attempt to recreate the structure, sequence, delivery, or underlying systems of the Program for the purpose of developing a competing or similar offering.

 

11. No Confusingly Similar Branding

Client shall not use any branding, naming conventions, logos, taglines, or marketing materials that are identical or confusingly similar to the Company's trademarks, service marks, Program names, or distinctive branding elements.

 

12. Affiliate / Referral Misuse

Client shall not use the Program, or any portion thereof, as part of Client’s own paid offerings, communities, or ecosystems, nor represent the Program as their own product or service.

 

13. Survival

All provisions relating to confidentiality, intellectual property, non-use, non-solicitation, and proprietary rights shall survive termination or expiration of this Agreement indefinitely.

 

 

14. Injunctive Relief and Liquidated Damages

Client acknowledges that breach of confidential information and intellectual property causes irreparable harm to Company not adequately compensable by monetary damages alone. Company shall be entitled to immediate injunctive relief without posting bond, in addition to all other remedies available at law or equity.

 

15. Audit and Investigation Rights

In the event Company reasonably suspects a breach of this Agreement, Client shall cooperate with Company's reasonable written requests for information or evidence directly related to any suspected breach (including account access or content samples). Client shall respond within ten (10) business days. Failure to cooperate constitutes material breach of this agreement.
